By accessing or using Subsured ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including general contractors ("GC Users") and subcontractors ("Subcontractors") who upload documents via the portal.
Subsured is a document management and tracking tool that allows general contractors to collect, store, and monitor compliance-related documents from their subcontractors, including Certificates of Insurance (COIs), W-9 forms, lien waivers, and trade licenses.
Subsured is not:
Subsured stores and organizes documents uploaded by users. We do not verify that any insurance policy is valid, active, or sufficient. We do not contact insurance carriers to confirm coverage. Extracted data from documents (such as expiration dates and coverage limits) is parsed from uploaded PDFs using automated tools and may contain errors.
You are solely responsible for independently verifying all insurance coverage, compliance requirements, and document validity applicable to your business and jurisdiction.
Subsured uses artificial intelligence (AI) provided by Anthropic, Inc. to extract data from Certificate of Insurance (COI) documents. By uploading a COI, you consent to that document being processed by Anthropic's AI systems. W-9 forms and other documents containing sensitive personal information are not sent to any AI system.
AI extraction may contain errors. Do not rely solely on extracted data for compliance decisions.
You must create an account to use the GC dashboard. You are responsible for maintaining the security of your account credentials. You may not share your account or allow others to access your account. You are responsible for all activity under your account.
Each account is associated with one organization. You represent that you have authority to bind your organization to these Terms.
Subcontractors who upload documents via a portal link provided by a GC User do not create an account with Subsured. By uploading documents, subcontractors consent to their documents being stored by Subsured and shared with the GC User who invited them. COI documents may be processed by AI as described in Section 4.
Subsured is offered on a subscription basis at $49/month with a 14-day free trial. Payment is processed by Stripe. By providing payment information, you authorize us to charge your payment method on a recurring monthly basis.
Your subscription will automatically renew each month unless you cancel before the renewal date. You may cancel at any time from your account settings. No refunds are issued for partial months.
Contractor licensing requirements, insurance requirements, and compliance obligations vary by state, county, and municipality. Subsured does not provide guidance on what documents are legally required in any jurisdiction. You are solely responsible for understanding and meeting all applicable legal requirements in your jurisdiction.
Upon cancellation of your subscription, your data will be retained for 30 days, after which it will be permanently deleted. You may request immediate deletion of your account and data by contacting us at privacy@subsured.com. Subcontractors may request deletion of their uploaded documents by contacting privacy@subsured.com.
Subsured and its original content, features, and functionality are owned by Subsured and protected by intellectual property laws. You retain ownership of all documents you upload.
You may not use Subsured to:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SUBSURED DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SUBSURED DOES NOT WARRANT THE ACCURACY OF ANY DATA EXTRACTED FROM DOCUMENTS BY AUTOMATED OR AI SYSTEMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBSURED'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SUBSURED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL SUBSURED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation applies regardless of the cause of action, whether in contract, tort, strict liability, or otherwise.
You agree to indemnify and hold harmless Subsured and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Please read this section carefully. It affects your legal rights.
Any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in [YOUR STATE]. The arbitrator's decision shall be final and binding.
CLASS ACTION WAIVER: You waive any right to bring or participate in a class action lawsuit or class-wide arbitration against Subsured.
You may opt out of arbitration within 30 days of first using the Service by emailing legal@subsured.com with the subject "Arbitration Opt-Out."
These Terms are governed by the laws of the State of [YOUR STATE], without regard to conflict of law principles.
We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service. Continued use after changes constitutes acceptance.
